These Terms and Conditions ("Terms") govern your access to and use of the services provided by SVECTOR Corporation ("SVECTOR," "we," "us," or "our"), including but not limited to SVECTOR, Ostate Workspace, SVECTOR Maps, and associated applications and platforms (collectively referred to as "the Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use immediately.

2. User Acknowledgment

You acknowledge that you have read and understood these Terms and agree to abide by them. You represent and warrant that you are of legal age to enter into a binding agreement and that you possess the authority to bind any entity on whose behalf you use the Service.

3. Modifications to Terms

SVECTOR reserves the right to amend, revise, or modify these Terms at its sole discretion, with or without prior notice. Changes will be reflected on this page, and it is your responsibility to review these Terms periodically. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

4. Access and License

Subject to your compliance with these Terms, SVECTOR grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for personal and non-commercial purposes. We reserve the right to revoke this license at any time for any reason, without notice.


5. User Responsibilities

5.1 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify SVECTOR immediately of any unauthorized use of your account or any other breach of security.

5.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  1. Unauthorized Modifications: Attempting to modify, alter, or adapt the Service or its underlying software.
  2. Reverse Engineering: Engaging in reverse engineering or decompiling of the Service or any associated software.
  3. Malicious Code: Uploading or transmitting any malicious code or content that may harm or disrupt the Service.
  4. Circumventing Security: Attempting to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
  5. Excessive Load: Introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  6. Impersonation: Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
  7. Disruption of Service: Engaging in any activity that disrupts or interferes with the Service, including but not limited to the use of bots, spiders, or other automated means.

5.3 Penalties for Violation

Any violation of these Terms, including unauthorized modifications or hacking attempts, may result in immediate suspension or termination of your access to the Service. Additionally, SVECTOR reserves the right to pursue all available legal remedies, including civil or criminal prosecution, for any illegal activities conducted through the Service.


6. Payment Terms

All transactions conducted via the Service shall be governed by our billing policies. SVECTOR reserves the right to modify pricing, payment terms, and billing procedures for any plans or services at its discretion, without prior notice. Users are responsible for regularly reviewing the pricing information. Continued use of the Service after any such changes constitutes acceptance of the modified pricing.


7. Proprietary Rights

All rights, title, and interest in and to the Service and its content, including all materials, features, and functionality, are owned by SVECTOR or its licensors. You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any portion of the Service without our express prior written consent.

You agree to maintain the confidentiality of any Confidential Information disclosed to you in connection with your use of the Service. You shall not disclose any Confidential Information to any third party without the express written consent of SVECTOR LLC.


8. Dispute Resolution

8.1 Informal Resolution

In the event of a dispute, you agree to first attempt to resolve the dispute informally by contacting SVECTOR at support@svector.com. Should the dispute not be resolved within 30 days, you may pursue legal action.

8.2 Arbitration Agreement

Any disputes arising from or relating to these Terms or your use of the Service shall be resolved by binding arbitration, rather than in court. You waive any right to a jury trial or to participate in a class action.

The arbitration shall be conducted in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding on all parties.


9. Limitation of Liability

To the fullest extent permitted by applicable law, SVECTOR LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory.

9.1 Warranty Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, whether express or implied. SVECTOR does not warrant that the Service will be uninterrupted, secure, or free from errors.


10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action arising out of or related to these Terms shall be filed in the courts located in Santa Clara County, California.


11. EU Consumer Rights

If you are a consumer residing in the European Union, you are entitled to certain rights under EU law, which may not be modified or waived by these Terms. This includes the right to withdraw from a contract under certain conditions.


12. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.


13. Waiver of Rights

No waiver of any right or provision of these Terms shall be deemed a further or continuing waiver of such right or any other right, and any failure by SVECTOR to assert a right shall not constitute a waiver of such right.


14. Modification and Termination of Service

SVECTOR reserves the right, at its sole discretion, to modify or discontinue the Service, or any portion thereof, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
